HOMIE and The DUDE Ltd and you (the Creator-Partner) agree:
1. Appointment.
HOMIE and The DUDE Ltd would like the Creator-Partner’s assistance in promoting / offering / selling products of HOMIE and The DUDE Ltd via the Creator-Partner’s social media platform(s), referrals, and own purchases.
2. Term.
This Agreement shall have an initial term of 6 months and shall automatically renew for additional 6-month terms thereafter unless either party provides thirty days prior written notice of its intention of non-renewal.
3. Cancellation.
Either party may terminate this agreement at any time without cause upon thirty days prior written notice to the other party. If the agreement is cancelled, the “Creator-Partner” will receive any pending payments finalized up to the date of cancellation.
4. Deliverables.
The Creator-Partner will create and post as many promotions as they desire on their social media platforms in the promotion of HOMIE and The DUDE Ltd products.
5. Items to Avoid in HOMIE and The DUDE Ltd promotions.
The Creator-Partner agrees that all promotion should be in good taste and free of inappropriate language and/or any content promoting bigotry, racism, or discrimination based on race, gender, religion, nationality, disability, sexual orientation, or age.
6. Confidentiality and Exclusivity.
During the course of the Creator-Partner’s promotion for HOMIE and The DUDE Ltd, the Creator-Partner may receive and/or have access to information that is confidential in nature. This information must be kept strictly confidential and used only in the performance of the Creator-Partner’s promotion under this Agreement. The Creator-Partner agrees that they will not use, disclose, communicate, copy, or permit the use or disclosure of any such information to any third party unless otherwise directed by HOMIE and The DUDE Ltd in the course of the Creator-Partner’s promotion under this Agreement.
7. Payment Terms.
HOMIE and The DUDE Ltd will provide the Creator-Partner with a custom coupon code to use in all of their promotions. The coupon code gives customers a certain amount of discount to pass to their audience on all products on the HOMIE and The DUDE Ltd website: HaTDBuilder.com. This coupon will be created by HOMIE and The DUDE Ltd specifically for the Creator-Partner’s use.
HOMIE and The DUDE Ltd will pay the Creator-Partner a percentage fee of all sales using the above-mentioned coupon code, namely, up to 45% of all attributable and cleared sales (not including shipping costs) related to use of the custom coupon code. The creator-partner can choose how much of their 45% they wish to allocate to an audience discount and how much they wish to allocate to their commission. If no preference is requested, then by default, the creator receives 35% commission and their audience receives a 10% discount on any sales that come through their coupon.
Payment from HOMIE and The DUDE Ltd will be made on January 1st and July 1st of every year in GBP (Great Britain Pounds) by PayPal or bank transfer. Payments will be sent within ten days after the agreed invoice date.
8. Force Majeure. If either party is unable to perform any of its obligations by reason of fire or other casualty,
strike, act or order of public authority, act of God, or other cause beyond the control of such party, then such
party shall be excused from such performance during the pendency of such cause.
9. Choice of Law. This Agreement shall be construed and enforced pursuant to the laws and decisions of the United Kingdom.
